RIA Run Contest Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

1. Contest Description.

The "RIA Run" Contest (the "Contest") is an activity in which you are asked to demonstrate basic skills for installing and developing applications using the free Microsoft Silverlight 2 software development kit (SDK) and free Silverlight Streaming service. Entries will be judged based on the criteria for the Contest listed below.

2. Eligibility and Term.

The Contest, sponsored by Microsoft Corporation ("Sponsor") and administered by Jupitermedia Corporation ("Administrator"), is open for participation to legal residents of the fifty (50) United States (including the District of Columbia) who are at least 17 years of age at the time of entry (hereinafter referred to as "Entrant" or "you" or "your"). ONLY ONE ENTRY PER PERSON.

Only one person shall be named on the registration form for the submission of the Entry. If any group of individuals elects to collaborate on a submission, they are required to designate one (1) representative who will be the only Entrant on behalf of the group. In the event of a dispute as to the identity or eligibility of the Entrant, the submission will be declared made by the Authorized Account Holder of the e-mail address submitted at time of submission. "Authorized Account Holder" is defined as the natural person seventeen (17) years of age or older who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, education institution, etc) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Neither Sponsor nor Administrator shall be liable for any disputes between collaborators related to a submission.

Employees and directors, together with members of their immediate families (parent, child, sibling and spouse of each regardless of where they reside) and those living in their same households (whether or not related), of Sponsor and its subsidiaries and equity affiliates and any person supporting the Contest, including the Administrator and its parent, subsidiaries and equity affiliates, and any advertising and promotion agencies of any of the foregoing entities are ineligible to participate or be awarded and retain any Contest Prize.

The Contest is void where prohibited or restricted by law. By your participation, including registration, entry, verification activities and redemption of any Contest Prize, you agree these full Official Rules ("Rules") will govern all aspects of your relationship with the Contest and its official web site (http://www.devx.com/RIA/Door/37507) ("Site") and Sponsor, Administrator and Contest agents. These Rules cannot be modified or superseded except by Sponsor and Administrator, in their reasonable discretion, posted on the Site.

The Contest shall run in two phases. Phase I: Entry. The Entry Period begins on April 4, 2008, at 12:01 AM Pacific Time ("PT" all times in these Rules are stated in 'Pacific Time'), and ends on May 15, 2008, 2008, at 11:59:59 PM PT (the "Entry Period"). Phase II: Display/Interaction Period. The Display/Interaction Period will commence on May 16, 2008, at 12:01 AM Pacific Time and end on June 5, 2008, at 11:59:59 PM PT ("Display/Interaction Period"). Collectively the Entry Period and the Display/Interaction Period shall be referred to as the "Contest Term."

3. Participation in the RIA Run Contest

a. Registration.

Go to the Site (http://www.devx.com/RIA/Door/37507) and register http://www.devx.com/RIA/Register/37513 for the Contest by accurately and truthfully completing all mandatory registration information specified on the Site for participation including the Entrant's name, Entrant's e-mail address, and create a password, which shall be used to access the Entrant's "Contest Portal" (defined as the Entrant's registered location on the Site). ONLY ONE ENTRY PER PERSON.

b. Get the Tools.

Entrants must have access to a legal copy of either Visual Studio 2005 OR Visual Studio 2008 Standard, Professional or any of the Team Editions, either full or trial versions. A free Trial version of Visual Studio may be ordered from http://msdn.microsoft.com/vstudio/products/trial/. Entrants will also need to download and utilize the Silverlight 2 SDK which can be accessed through http://silverlight.net.

c. Develop a Silverlight-based Game.

Using the tools and information identified above, develop a game application ("Game"), using the Silverlight 2 SDK and Silverlight Streaming service. Game types include, but are not limited to, side scrolling games, puzzle games, audio/visual games, first person point of view (POV) games, and or role playing games (RPG).

Entries must be developed utilizing the Silverlight 2 SDK and at least two specific Silverlight 2 features. These include, but are not limited to, layout manager support, two-way data-binding support, control template and skinning support, core form controls, built-in layout management controls, common functionality controls, data manipulation controls, cross domain network access, collections, IO, generics, threading, globalization, XML, local storage.

d. Enter your Game.

During the Entry Period, Entrant shall submit through the Entrant's registered Contest Portal on the Site, the following information, all of which are required for official entry into the Contest ("Entry"):
1. Name of the Game (less than 10 words)
2. Screenshot of the Game
3. Game Description (less than 100 words)
4. Listing of Silverlight 2 features used in the Game
5. URL of Silverlight application

The Entry shall appear on its own page within the Entrant's registered Contest Portal. Entrant shall be permitted to use their Name and Password to login and update their Entry at any time during the Entry Period. Upon expiration of the Entry Period no further changes or updates will be permitted.

Neither Sponsor nor Administrator assume any responsibility for lost, late, illegible, garbled or misdirected Entries, or for any computer, online, telephone, human, or other error or any technical or other malfunctions that may occur. Proof of e-mailing or submission does not constitute proof of delivery of accepted Entry. No responsibility is assumed for lost, late, stolen or misdirected mail or entries, or any failure or unavailability of electronic communications or Internet connections. No correspondence about submissions will be answered.

e. Phase II- Display/Interaction Period

During the Display/Interaction Period, all Entries will be displayed on the Site and promoted to the internet.com audience and evaluated by the Judges as provided in Paragraph 4 below.

Upon completion of the Display/Interaction Period, winning Entries shall remain on the Site to serve as a gallery of applications to highlight to the internet.com developer audience.

4. Judging Criteria; Judging Process; Prizes.

a. Judging Criteria.

All eligible Entries received will be judged based on following four (4) criteria:

(1) 30% - use of Silverlight 2-specific features
(2) 20% - use of other Silverlight features
(3) 20% - originality of concept (as determined by the judging panel)
(4) 30% - entertainment value (as determined by the following criteria):
     i - 20% subjective opinion of judging panel
     ii - 5% Stickiness (as determined by length of visit from internet.com web reporting).
     iii - 5% Popularity ( as determined by page views from internet.com web reporting)

Application of the Judging Criteria to Entries shall be at the judges' reasonable discretion and, as to matters of subjectivity, the judges' sole discretion. The judges' decisions are final and binding in all matters relating to this Contest.

b. Judging Process.

During the Display/Interaction Period, all eligible Entries received will be reviewed, considered and evaluated by qualified judges, pursuant to the Judging Criteria described above. The judging panel will consist of two (2) Sponsor and two (2) Administrator employees. Up to three (3) eligible entries will be selected as Grand Prize Winner, First Runner-Up and Second Runner-Up place winners (each a "Winner").

Entries that are lewd, obscene, profane, pornographic, disparaging, indecent, or that are otherwise deemed to be inappropriate by Sponsors, in their sole discretion, will be disqualified at the Sponsor's sole discretion. Entries will be judged and the highest scoring entries will be selected as the Winners

In the event of insufficient qualified entries into the Contest, Sponsor and Administrator reserve the right at in their sole discretion to select fewer than the stated number of winners.

c. Announcement of Winners.

Winners will be notified by E-mail on or about June 30, 2008. Neither Sponsors nor Administrator shall be responsible for fraudulent calls or E-mails made to Entrants not by Sponsors. If Winner's notification is returned as undeliverable, a Winner is ineligible, or declines a Prize, Prize may be forfeited and an alternate Winner will be selected. Winners must sign before a notary and return an Affidavit of Eligibility and Compliance with Official Rules and Liability Release. Non-compliance may result in disqualification and the Prize will be awarded to an alternate Winner based on the judging criteria outlined herein. Entrants, who do not win, will not be individually notified.

    Prize Conditions: All Prizes are awarded "AS IS" and without warranties of any kind, express or implied, (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). All Prizes will be awarded, provided a sufficient number of qualified eligible Entries are received. Should a Winner decline a Prize for any reason whatsoever, the next-eligible highest ranking entry will be deemed the winner of that Prize. All Contest Prize consideration will be awarded solely to the officially registered Entrant. An Entrant is eligible to win and be awarded only one (1) Contest Prize. Any applicable taxes on the Prize or expenses not listed herein are the sole responsibility of the winners. Prizes may be subject to U.S. withholding taxes and non-U.S. winners (if any) may be required to complete an IRS W8-BEN. Sponsor and/or Administrator reserve the right to substitute a prize of equal or greater value if entire Prize or a portion of the advertised Prize is unavailable for any reason. No barter, transfer, or assignment of any Prize is permitted. Prizes are not redeemable for cash.

    Any expenses not explicitly listed herein, including any applicable tax on a Prize, are the sole responsibility of the Winner. Prizes are not redeemable for cash. Specifics of Prize package are subject to availability and sponsor's sole discretion.

    5. General Terms and Conditions

    a. General

    The Game and Entry must have been created solely by the Entrant, and the Entrant must have a non-restricted right to submit it into the Contest. In addition, if a Entrant's Entry includes collaborative contributions from another person, Entrant warrants that he/she has the right to include such contributions in the Entry, in accordance with the terms and conditions of these Rules and then Entrant may be required to provide, if requested, a legal release for use of such elements, in a form satisfactory to judges and such the Sponsor may use elements, in whole or in part, and any modification thereof, in any and all media not known or hereinafter developed without territorial, time or any other limitations. The Entry cannot defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Modifying, enhancing or altering a third party's pre-existing work does not qualify as Entrant's original creation. Entries must not be offensive, as determined by judges in their sole discretion. Any Entrant whose work includes likenesses of third parties or contains elements not owned by the Entrant (such as, but not limited to depictions of buildings, trademarks or logos) must be accompanied by legally binding releases ("Releases") for such use including Sponsor and Administrator's use of such entry, in a form satisfactory to judges. Entries not complying with all rules are subject to disqualification.

    By entering, each Entrant grants to Sponsor and Administrator (including its affiliates, employees, agents, and contractors), an irrevocable, royalty free, fully paid up, worldwide license to use, review, assess, test and otherwise analyze the application and all of its content in connection with this Contest. Sponsor and Administrator shall be free to use for any purpose the residuals resulting from access to or work with the Entrants' application. The term "residuals" means information in intangible form, which is retained in memory by persons who have had access to the submissions, including ideas, concepts, know-how, or techniques contained therein. Sponsor nor Administrator shall not have any obligation to limit or restrict the assignment of such persons or to pay royalties for any work resulting from the use of residuals. The submissions must not be, in whole or in part, governed by an Excluded License. An Excluded License is any license that requires, as a condition of use, modification and/or distribution of software subject to the Excluded License, that such software and/or other software combined and/or distributed with such software be (a) disclosed or distributed in source code form; (b) licensed for the purpose of making derivative works; or (c) redistributable at no charge. Permission is also granted for Sponsor and Administrator to promote Entries in perpetuity in any medium it may see fit including, but not limited to, website, television, radio and/or printed materials. Entrants shall not receive any compensation or credit for use of entries, other than that disclosed in these rules. Entrants agree to be bound by the terms of these Official Rules. All information is collected in the United States by Jupitermedia Corporation. Use of any personally identifiable information is subject to the terms set forth in Jupitermedia Corporation's Privacy Policy located at http://www.jupitermedia.com/corporate/privacy/privacypolicy.html .

    Potential winners may be required to execute and return an Affidavit of Eligibility and Liability Release and where legal, a Publicity Release, within 14 days following the date of issuance of notification. Non-compliance within this time period or return of any Prize/Prize notification as undeliverable may result in disqualification and selection of an alternate winner. Acceptance of Prize constitutes permission for Sponsor and Administrator and their agents to use the winner's name and likeness for advertising and promotional purposes without additional compensation unless prohibited by law. By entering, participants release and hold harmless Microsoft Corporation, Jupitermedia Corporation and their respective subsidiaries, and affiliates, and all of their employees, officers, directors, shareholder's and agents from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Contest, the use of any entry, or the acceptance or use of any Prize won.

    By accepting a Prize, you agree to release and hold harmless Sponsor and Administrator, and their respective licensees, parents, affiliates, and subsidiaries and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a gift, or participation in this Contest.

    b. Disputes: As a condition of participating in this Contest, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of Connecticut having competent jurisdiction, which Court shall apply the laws of the State of Connecticut without regard for doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Contest, if applicable), and you further waive all rights to have damages multiplied or increased and any right to a jury trial.

    c. Internet: If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, uploads of malicious files or viruses, or any other causes beyond the control of Sponsor and Administrator which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor and Administrator reserve the right to disqualify any entry or any individual who tampers with the entry or voting process, and to cancel, terminate, modify or suspend the Contest and select winners using all eligible, non-suspect entries and/or votes received as of the date of termination. Sponsor and Administrator assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor and Administrator are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this contest or downloading any materials in this Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MICROSOFT CORPORATION AND JUPITERMEDIA CORPORATION RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

    d. Disclaimers and Indemnification.

    SPONSOR AND ADMINISTRATOR, AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATED COMPANIES AND THEIR DISTRIBUTORS, ADVERTISING, PUBLIC RELATIONS, MEDIA, CONTEST AND JUDGING AGENCIES, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (COLLECTIVELY, THE "RELEASED PARTIES") EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS OF ANY KIND (WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE), INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Sponsor reserves the right, in its sole discretion, to reasonably suspend or cancel the Contest should any virus, bug and/or other cause beyond the control of Sponsor corrupt the administration, security or proper operation of the Contest. In the event the Contest is cancelled, Sponsor may, at its sole discretion, determine the Winners from among all eligible Entries received up to the time of such action using the judging procedure outlined above. Entrants agree to release, defend, indemnify and hold harmless Released Parties from and against, and accept all responsibility of any kind, including but not limited to financial, for any liability, claims, losses, damages or proceedings, including but not limited for death, (including reasonable attorneys' fees) relating to any actions taken by a Entrant, including submission of the Game. Entrant also agrees to release, defend, indemnify and hold harmless the Released Parties from any and all liability, claims, losses, damages or proceedings, including but not limited for death (including reasonable attorneys' fees) relating to Contest Prizes and any other matter in connection with a Entrant's participation in the Contest or Sponsor's or its designees.
